This Membership Contract (hereinafter referred to as the "Contract") is made and entered, by and between:

Nas House LLC (hereinafter referred to as the "Organization")

Paying Member (hereinafter referred to as the "Member")

WHEREAS, the Organization is a Membership club that provides co-working space and access to the facilities and benefits stated in section 2.

WHEREAS the Member desires to join the Organization and avail the benefits and services offered by the Organization;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties hereto agree as follows:

1. Membership

  • 1.1 The Organization hereby grants the Member a membership to the Organization, effective as of the date of this Contract.

  • 1.2 Memberships are available for one month, six months or twelve months. The membership shall be valid for a period based on your selection, from the date of this Contract, unless earlier terminated in accordance with the terms of this Contract.

  • 1.3 The Member agrees to pay a membership fee of selected period to the Organization, payable [Payment Terms: e.g., annually, monthly, etc.].

  • 1.4 The Organization reserves the right to hold private events and temporarily restrict access to members as needed with 24 hours prior written notice.

  • 1.5 The Organization reserves the right to amend clauses, and change pricing and benefits with 24 hours written prior notice.

2. Member Benefits

  • 2.1 As a member of the Organization, the Member will be entitled to the following benefits:

  • 24/7 Access to Nas House villa Sangha
  • No Joining Fee
  • Access to all exclusive Nas House Events
  • Free coffee available
  • Access to Filli cafe with 10% discount
  • Local discounts e.g. Personal Trainer
  • BBQ + Firepit
  • Private Pool
  • Gym
  • Cat Room
  • Content Creation Room
  • Exclusive access to Nas Studios for content creation (price upon request)
  • Guests per visit - 1
  • Members get 5% discount on Nas House stays per night

3. Member Obligations

  • 3.1 The Member agrees to comply with all rules, regulations, and policies of the Organization, as may be amended from time to time.

  • 3.2 The Member agrees to conduct themselves in a manner that upholds the reputation and integrity of the Organization.

  • 3.3 Any form of harassment, discrimination, bullying, or disruptive behavior towards fellow members, staff, or guests will not be tolerated.

  • 3.4 The Member agrees to actively participate in Meetings, Events, etc.organized by the Organization.

  • 3.5 No Member shall remove (except with the express permission of the Organization) or damage or destroy any picture, item of furniture or other article (including without limitation: books, magazines and newspapers) being the property of the Organization.

  • 3.6 In the event that a Member or guest of a Member causes damage to or destruction of any such property, then such Member shall be fully responsible for making good all loss suffered by the Organization as a result of such damage or destruction.

  • 3.7 Violation of these misconduct clauses may result in disciplinary action, up to and including termination of membership, at the discretion of the Organization.

4. Termination Policies for Memberships

  • 4.1 Either party may terminate this Contract at any time by providing written notice to the other party.

  • 4.2 The Organization may terminate the Member's membership immediately, without notice, if the Member breaches any terms of this Contract or engages in conduct deemed detrimental to the Organization.

  • 4.3 The termination and refund terms are outlined below, tailored to the specific membership selected:

4.3.1. Monthly Membership:

  • Termination Notice: Members can terminate their monthly membership with a 7-day written notice before the next billing cycle.
  • Refund Policy: No refunds for partial months.
  • Automatic Renewal: Memberships automatically renew monthly unless canceled.

4.3.2. Six-Month Membership:

  • Termination Notice: Members can terminate their six-month membership with a 14-day written notice before the end of the six-month period.
  • Refund Policy: Pro-rated refunds are available if terminated before the halfway point of the membership term.
  • Automatic Renewal: Memberships automatically renew every six months unless canceled.

4.3.3. Annual Membership:

  • Termination Notice: Members can terminate their annual membership with a 30-day written notice before the end of the 12-month period.
  • Refund Policy: Pro-rated refunds are available if terminated within the first six months of the membership term.
  • Automatic Renewal: Memberships automatically renew annually unless canceled.

5. Club rules

  • 5.1 Smoking, including electronic cigarettes, is prohibited inside the co-working space.

  • 5.2 Members have 24/7 access only to Sangha Villa, the designated co-working space.

  • 5.3 Members may only use the facilities of the coworking villa and the garden space.

  • 5.4 Members are not permitted in other residential villas.

  • 5.5 Members are prohibited from staying overnight in the residential villas, Sangha Villa, or common areas.

6. Confidentiality

  • 6.1 The Member agrees to maintain the confidentiality of any proprietary or confidential information of the Organization and not to disclose such information to any third party without the prior written consent of the Organization.

7. Liability

  • 7.1 The Organization shall not be liable for any damages, losses, or injuries suffered by the Member arising out of or related to their membership in the Organization.

8. Governing Law

  • 8.1 This Contract shall be governed by and construed in accordance with the laws of the United Arab Emirates.

9. Miscellaneous

  • 9.1 This Contract constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral.

  • 9.2 No modification or amendment of this Contract shall be effective unless in writing and signed by both parties.

  • 9.3 If any provision of this Contract is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.IN WITNESS WHEREOF, the parties hereto have executed this Membership Contract as of the day and year first above written.
